Terms of Service

Who we are and scope

These terms govern the use of Ronin 49's customer messaging platform, provided by RONIN 49, SOCIEDAD LIMITADA (tax ID B05630710, LG. A Rocha, 114, 36400 O Porriño (Pontevedra), España). The service is for businesses and professionals, not consumers. The contract or signed proposal with each client business prevails over these terms where it differs (price, terms and service levels). Use of this website is governed by our legal notice.

The service

The platform lets a business connect its WhatsApp Business numbers through Meta's official signup, keep using the WhatsApp Business app on its phone where Meta allows it (Coexistence), handle conversations from a multi-agent web inbox, manage message templates and disconnect the number at any time.

The platform is not affiliated with, endorsed or sponsored by Meta or WhatsApp. WhatsApp and Meta are trademarks of their owners. The service depends on the WhatsApp Business Platform: if Meta changes, limits or suspends its service or the business's account, the platform may be affected.

Onboarding and accounts

  • Whoever registers the business confirms they may represent it and that the information provided is accurate.
  • The business decides which employees have access and with which permissions, and is responsible for their use. Credentials are personal; tell us immediately if you suspect unauthorised access.
  • By connecting a number, the business authorises Ronin 49 to access its WhatsApp Business Account with only the permissions needed to provide the service.

Client obligations

  • Accept and comply with the WhatsApp Business Solution Terms, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy.
  • Obtain customers' opt-in before messaging them on WhatsApp, honour opt-out requests and use approved templates outside the customer service window.
  • Not use the platform for spam, illegal, misleading or offensive content, or for products and services WhatsApp prohibits.
  • Comply with data protection law as the controller of conversations with its customers.

We may suspend a number or account if these obligations are breached, if Meta requires it or if there is a security risk, notifying the business unless urgency prevents it.

Data protection

For conversations with its customers, the business is the controller and Ronin 49 the processor: we process that data only to provide the service and on its instructions, under the data processing agreement (Article 28 GDPR) that forms part of the contract. Fees

Prices and payment terms are those of the accepted contract or proposal. Meta's WhatsApp conversation charges are billed separately under Meta's terms unless the contract says otherwise.

Termination

The business may disconnect a number or close its account at any time. We then revoke access to its WhatsApp Business Account and delete the history within 30 days, unless it asks us to export it first or the law requires it to be kept.

Intellectual property

The platform software and brand belong to Ronin 49 or its licensors; the agent inbox is based on open-source software, which keeps its own licence. The business's messages and data belong to it.

Availability and liability

We work to keep the service available, but there may be interruptions due to maintenance, third-party failures (including Meta) or causes beyond our control. Except for wilful misconduct or gross negligence, our liability is limited to the amount paid by the business in the twelve months before the event, and we are not liable for lost profits or indirect damages.

Security reports

If you find a vulnerability in the platform or this website, email contacto@roninfox.com with the subject “Security vulnerability”. We will reply as soon as possible; please do not disclose it or access third-party data while we fix it.

Changes and governing law

We may update these terms; for significant changes we will email client businesses at least 30 days in advance. These terms are governed by Spanish law and the parties submit to the courts of the province of Pontevedra (Spain).
